Terms Of Service

These terms of service ("Terms") cover your use and access to the services, client software and website concerning VSquare ("Services") made available by Revolve Studio Srl. Our Privacy Policy explains how we collect and use your information. By using our Services, you're agreeing to be bound by these Terms, and to review our Privacy policy. If you're using our Services for an organization, you're agreeing to these Terms on behalf of that organization.

Our Software
The Services are protected by copyright, trademark, and other IT and foreign laws. These Terms don't grant you any right, title or interest in the Services or others content in the Services, VSquare and Revolve Studio Srl trademarks, logos and other brand features.
We welcome your feedback, but note that we may use comments or suggestions without any obligation to you.

Paid Plans
Billing.
You can move from a free to a paid plan anytime you wish to do so. We’ll automatically bill you from the month you convert to a paid plan and on each periodic renewal until cancellation. You will be billed ONLY for activated paid plans. A plan is activated by the VSquare installation software as soon as the VSquare Server Service starts.
You may add any amount of additional paid or free plans to use VSquare on any amount of additional backup servers. Every active paid plan will be billed on each periodic renewal until cancellation.
Periodic billing happens monthly.

No Refunds
You may cancel any of you active paid plans at any time but you won't be issued a refund.

Downgrades
Your Paid Account will remain in effect until it's cancelled or terminated under these Terms. If you don't pay for your Paid Account on time, we reserve the right to suspend it or reduce it to a free plan.

Changes
We may change the fees in effect but will give you advance notice of these changes via a message to the email address associated with your account.

Your Logo and/or Company Name and Feedback
By accepting these terms and using VSquare, you agree to allow Revolve Studio Srl to use your Logo and/or Company Name on this website in the list of companies that are currently utilizing VSquare. We may also, for the purpose of promoting VSquare, use any kind of positive feedback or review you may send to us.
If you do not want to see your logo or company name used you can ask anytime for removal by contacting us at vsquare@revolve-studio.com.

Cloud
Any paid plan allows you to store your backups on our Premium Cloud Facility. Each paid plan has specific storage limits that will be enforced by VSquare: reaching storage limit will simply stop any upload until space is freed.
Cloud usage is always calculated on REAL PHYSICAL size of the backup, not on the size of the machine as configured in your host.
As an example, if a 500 gigabytes machine configured with thin provisioned disks produces a backup of 100 gigabytes, your cloud quota usage will increase by 100 gigabytes.

Cloud Costs
All Cloud storage costs ARE NOT INCLUDED in paid plan costs.
Current cloud costs are at 2€ (two Euro) every 10 gigabytes stored on our Cloud Facility. For In-House cloud or Disaster Recovery data transfer inside your organization, the cost is of 1€ (one Euro) every 10 gigabytes. To avoid unexpected costs or usage, you will be required to accept these Terms to enable cloud destination on a backup schedule.
As an example, storing a 500 gigabyte backup will cost around 100€ monthly. An In-House Disaster Recovery of the same machine would cost 50€ monthly.

Freeing Space
You can delete cloud backups directly from your VSquare Anywhere Administration Console anytime and avoid further billing. You will be charged the cost of the usage up until before deleting. If you cannot delete your cloud backup for any reason, you can ask your cloud backup to be removed by contacting us trough email or forum : after the necessary verification steps we will delete any cloud backup data for you.

Priority Phone & Chat Support
If you have subscribed to at least one Corporate plan you are entitled for priority phone & chat support. Under this service, Revolve Studio Srl agrees to :

1. Respond to any e-mail sent to the designated support address within 8 hours upon receipt;
2. Accept and Respond to any chat requrest coming from a Corporate enabled account trough the designated chat channel for a maximum of 5 contacts per year;

Termination
You're free to stop using our Services at any time. We also reserve the right to suspend or end the Services at any time at our discretion and without notice. For example, we may suspend or terminate your use of the Services if you're not complying with these Terms, or use the Services in a manner that would cause us legal liability, disrupt the Services or disrupt others' use of the Services. Except for Paid Accounts, we reserve the right to terminate and delete your account if you haven't accessed our Services for 12 consecutive months. We'll of course provide you with notice via the email address associated with your account before we do so.
Cancelling any paid subscription recurring payment from PayPal or blocking automatic payments in any way that will make it impossibile for Revolve Studio Srl to successfully process payments, will result in immediate cancellation of any paid subscription license attached to your account.

Services "AS IS"
TO THE FULLEST EXTENT PERMITTED BY LAW, REVOLVE STUDIO SRL AND ITS AFFILIATES, SUPPLIERS AND DISTRIBUTORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED "AS IS." WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL REVOLVE STUDIO SRL, ITS AFFILIATES, SUPPLIERS OR DISTRIBUTORS BE LIABLE FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES OR ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS, REGARDLESS OF LEGAL THEORY, WHETHER OR NOT REVOLVE STUDIO SRL HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE; (B) AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES MORE THAN THE GREATER OF $20 OR THE AMOUNTS PAID BY YOU TO REVOLVE STUDIO SRL FOR THE PAST 12 MONTHS OF THE SERVICES IN QUESTION.

Entire Agreement
These Terms constitute the entire agreement between you and Revolve Studio Srl with respect to the subject matter of these Terms, and supersede and replace any other prior or contemporaneous agreements, or terms and conditions applicable to the subject matter of these Terms. These Terms create no third party beneficiary rights.

Waiver, Severability & Assignment
Revolve Studio Srl failure to enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. You may not assign any of your rights under these Terms, and any such attempt will be void. Revolve Studio Srl may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Services.

Modifications
We may revise these Terms from time to time, and will always post the most current version on our website. If a revision meaningfully reduces your rights, we will notify you (by, for example, sending a message to the email address associated with your account, and posting on our blog or on this page). By continuing to use or access the Services after the revisions come into effect, you agree to be bound by the revised Terms.
